Provider Membership Agreement

1. Overview:

This Provider Membership Agreement explains the terms that apply when a provider joins the MeritReach Provider Membership Program. MeritReach provides a healthcare provider visibility, discovery, and referral coordination platform. MeritReach is not a healthcare provider, does not provide medical advice, and does not guarantee referrals, clients, admissions, revenue, rankings, placement, or business outcomes.

2. Eligibility:

Provider membership is available to approved care-related businesses, agencies, organizations, and professionals that meet MeritReach eligibility standards. Providers are responsible for maintaining all required licenses, registrations, certifications, insurance, and approvals applicable to their services and locations.

3. Provider Responsibilities:

Providers must maintain accurate business information, use truthful and non-misleading service descriptions, communicate professionally with families and users, keep billing information current, comply with applicable laws, and promptly notify MeritReach of material changes affecting eligibility, services, ownership, licensing, or operations.

4. Platform Use:

Membership may include provider profile access, directory visibility, service category placement, business information display, family inquiry pathways, platform updates, and other membership features made available by MeritReach. MeritReach may review, edit, approve, decline, suspend, or remove provider content to protect platform quality, compliance, and user trust.

5. Billing & Renewals:

Provider memberships are billed on a recurring basis through Stripe or another connected payment processor. By enrolling, providers authorize recurring charges according to the selected membership plan until canceled. Failed payments may result in reminders, account limitations, paused visibility, or suspension of membership benefits.

6. Termination:

Providers may cancel according to the Cancellation Policy. MeritReach may suspend or terminate membership if a provider violates this Agreement, the Provider Code of Conduct, Terms of Service, platform standards, applicable law, or engages in conduct that may harm families, users, providers, MeritReach, or platform integrity.

7. Compliance:

Providers are responsible for complying with all laws, rules, licensing requirements, privacy obligations, advertising requirements, and professional standards applicable to their business. MeritReach does not verify every provider claim and may require supporting documentation when appropriate.

8. No Guarantee:

Provider membership does not guarantee referrals, leads, family inquiries, admissions, clients, revenue, rankings, placement, visibility level, search position, or business outcomes. MeritReach provides platform participation and visibility opportunities subject to eligibility, availability, operational discretion, and platform standards.

9. Relationship of Parties:

Nothing in this Agreement creates an employment, agency, joint venture, franchise, medical, fiduciary, or exclusive relationship between MeritReach and any provider. Providers remain independent businesses responsible for their own services, staff, pricing, licenses, operations, and client relationships.
